1. Introduction

These Terms and Conditions govern all orders, contracts, and transactions for products and services provided by Gumold, including but not limited to manufacturing of rubber and metal products, tooling and molds, material preparation, and related services. By placing an order or engaging our services, you agree to be bound by these Terms and Conditions.

2. Definitions

  • Company refers to Gumold.

  • Customer refers to the person or entity placing the order or purchasing products/services.

  • Products includes all goods manufactured, supplied, or delivered by the Gumold.

  • Services includes all manufacturing, tooling, planning, design, and consultation services provided by the Gumold.

3. Orders and Contracts

3.1 All orders are subject to acceptance by the Gumold.
3.2 An order is deemed accepted when the Gumold issues a written order confirmation.
3.3 In the event of any conflict between these Terms and any purchase order, these Terms shall prevail unless otherwise agreed in writing.

4. Specifications and Changes

4.1 Products and services will be manufactured according to specifications provided by the Customer.
4.2 The Company may make minor adjustments to tooling or processes if necessary for production quality, provided such changes do not materially alter the overall function of the Product.
4.3 Any significant changes requested by the Customer may result in price and schedule adjustments.

5. Pricing and Payment

5.1 Prices are as stated in the quotation or order confirmation.
5.2 Payment terms are [insert terms] unless otherwise agreed.
5.3 The Company reserves the right to require prepayment or deposits for certain orders.

6. Delivery and Lead Times

6.1 Delivery dates are estimates and not guaranteed.
6.2 The Gumold is not liable for delays caused by factors beyond its control, including supply chain issues, force majeure, customs delays, or unforeseen production stoppages.

7. Title and Risk of Loss

7.1 Title to Products transfers to the Customer upon full payment.
7.2 Risk of loss passes to the Customer upon delivery to the carrier.

8.Warranty and Defects

8.1 The Gumold warrants that Products will meet agreed specifications at the time of delivery.
8.2 Claims for defects must be made in writing within 3 days of delivery.
8.3 Warranty does not cover defects caused by misuse, alteration, improper installation, or normal wear and tear.

9. Limitation of Liability

9.1 Except where prohibited by law, the Gumold total liability for any claim shall not exceed the total amount paid by the Customer for the relevant Products or Services.

9.2 The Company shall not be liable for any indirect, special, or consequential damages.

10. Intellectual Property

10.1 All intellectual property, including tooling designs, CAD files, molds, and technical documentation created by the Company, remains the Company’s property unless otherwise agreed in writing.

11. Confidentiality

11.1 Both parties agree to keep confidential all technical and commercial information exchanged during the course of the relationship.

12. Applicable Law and Dispute Resolution

12.1 These Terms are governed by the laws of North Macedonia.
12.2 Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts in Skopje.

13. Changes to Terms

13.1 The Gumold may update these Terms from time to time.
13.2 Continued use of services after changes are posted constitutes acceptance of the updated Terms.
